Considerations
Starting a business enterprise can be a daunting challenge. This seminar
will focus on legal, business, and tax considerations involved in starting
a technology-oriented venture. Topics to be discussed include legal and
business structures, Delaware corporations, capitalization, tax and financing
considerations, stockholder agreements and relationships, employee/independent
contractor issues, and corporate documentation requirements.

Human
Resources for Start-Ups
Laying the ground work for employment relationships helps
set the stage for organization development and success.
This session focuses on the
complete cycle of HR activities to get that foundation started, from
the recruitment and employment processes, to administration of compensation
and benefits. Includes the HR things you have to do, things you want
to do and various alternatives for achieving both, while setting the
direction for your corporate culture. Other specific topics will include
payroll, employee orientation, performance management/review processes,
employee handbooks, employment-at-will, policies & procedures and
resources for finding great human resource information on the Web.

Intellectual
Property Issues: Patents and Beyond
Most life science companies are built around one or more patents. As
is often learned by companies well into the development phase, having
one or more patents may be necessary but is often not sufficient to allow
for successful commercialization of the product or technology. In this
workshop, aspects ranging from basic patent application through to ensuring
that you ultimately have freedom to operate will be covered. This will
include patent filing in the United States and abroad, public disclosure,
due diligence, record keeping, competition and prior art, and reduction
to practice.

Contracting
Technology is the lifeblood of many new business enterprises. This seminar
will focus on legal and business issues involved in leveraging technology
assets. Topics to be discussed include types of intellectual property,
confidentiality and non-disclosure issues, technology licensing, joint
ventures and strategic alliances, technology transfer, and distribution
and OEM relationships.

Developing
a Marketing Plan that Supports Your Business Strategy
This workshop is geared toward entrepreneurs from small technology companies
approaching commercialization of their product or technology; those developing
marketing plans and/or marketing departments, and those in the business
development and planning phase that need to understand the importance
of marketing to their overall business success. The marketing workshop
will cover opportunity definition, market definition, production definition,
pricing issues, selling strategy, promotion strategy, competition and
product positioning.
